Terms of service
These are the standard terms of service for all design projects. Please review them carefully, and if you have any concerns or require modifications, kindly reach out before the project begins so we can discuss any necessary adjustments to accommodate your specific needs.
Payments
I reserve the right to request a 50% deposit before starting work on your project. If a deposit is required, an invoice will be sent to you via email, and payment is expected within 30 days of the invoice date. By submitting the deposit, you agree to these Terms of Service and enter into a contract with Nadia Paez Bertolotto.

The remaining balance for the project and any associated services will be invoiced before the release of the final design files or exports. I reserve the right to withhold delivery until full payment has been received.

If you are unresponsive or unreachable for more than 30 days, I reserve the right to issue an invoice earlier than originally scheduled.

You may request a payment plan, which may be accepted at my discretion. Any payment plans must be agreed upon in writing by both parties.

All payments must be made within 30 days of the invoice date.
Restrictions
These Terms of Service do not grant you rights to use, modify, replicate, or borrow any preliminary ideas, concepts, or sketches presented. All original materials and unused designs remain the property of Nadia Paez Bertolotto.

I may reuse unused concepts for future projects, ensuring any similar designs are sufficiently altered to prevent conflicts.
​
Unless otherwise agreed in writing, I retain the right to showcase the final and related designs in my portfolio, online galleries, publications, and other professional showcases. This includes commercial print materials, business stationery, signage, and digital assets.

Any supporting artwork created may also be used for personal or professional purposes.​
​
You are free to modify the final logo at your own risk.

Fonts & Typefaces
Any fonts or typefaces used in the final design and supporting brand identity assets are subject to commercial licensing laws. A font or typeface license grants usage rights exclusively to the registered owner.

During the initial concept presentation, I will provide details on the typefaces used and where they can be obtained. It is the client’s responsibility to acquire any necessary font licenses, whether free or paid. Please consider this when approving design choices.

I am legally prohibited from distributing copies of any fonts or typefaces that I have personally purchased. If you wish to use a font that I have licensed for commercial purposes, you must purchase your own license and register it under your name.

In most cases, fonts used within a logo do not require licensing, as they are converted into vector artwork and are no longer editable. However, if you need a font for additional design purposes—such as website use or print materials—you must obtain the appropriate desktop license.
Ownership & Copyright
All preparation materials, sketches, visuals, and electronic files used in the creation of this project remain the property of Nadia Paez Bertolotto. Ownership of the final artwork and digital files is transferred to you only upon receipt of full payment.

If final payment is not received as agreed, all designs and concepts will remain the property of Nadia Paez Bertolotto until payment is made in full.
In the event of non-payment, I reserve the right to modify, reuse, or repurpose any of these designs for other clients or showcase them as portfolio concepts.

Unauthorized use, modification, replication, or distribution of my work without completing the agreed payment will result in immediate legal action.

I also reserve the right to display any artwork, concepts, or sketches created for this project in my portfolio as examples of client work. If you require confidentiality due to NDA, stealth mode, or other restrictions, please communicate this before accepting the proposal.

Final payment ensures that only the approved design becomes your property. All unused concepts remain mine unless otherwise agreed in writing.
Cancellation
Project Cancellation
If you choose to cancel the project after ideas and proposals have been submitted, any payments made are non-refundable. However, depending on the work completed and overall budget, a partial refund may be considered at my discretion.

If I am unable to complete the project due to illness or unforeseen circumstances, a portion of the budget will be refunded. In most cases, a full refund will be issued. If any completed work can be transferred to another designer, the refund will be adjusted accordingly, or alternative solutions may be considered.

Project Suspension
I reserve the right to suspend a project if there is excessive micromanagement, a continued lack of trust, an inability to move forward after multiple unique design concepts have been presented, or reluctance to make the final payment.
Fair notice will be given, along with an opportunity to resolve the situation before suspension or termination occurs. If a project is suspended or terminated, no refunds will be issued, and all work created will remain the property of Nadia Paez Bertolotto.

Force Majeure
I shall not be held liable for failure to fulfill any obligations under these Terms of Service due to circumstances beyond my control, including but not limited to acts of God, government actions, terrorism, riots, war, accidents, supply chain disruptions, or other unforeseen events. In such cases, I will notify you of the delay and resume work as soon as reasonably possible.
Limitation of Liability
Loss or Damage
You acknowledge and agree that Nadia Paez Bertolotto is not legally responsible for any loss or damage incurred from the use of my services. This includes, but is not limited to, amendments, errors, or omissions in documents, designs, information, or any goods or services I provide. Additionally, I am not liable for any loss or damage resulting from your use of or reliance on third-party content, links, comments, or advertisements. Any use of, or reliance on, the information and materials I produce, modify, or design is at your own risk.
You also acknowledge that such materials may contain unintended inaccuracies or errors, and to the fullest extent permitted by law, Nadia Paez Bertolotto expressly excludes liability for any such inaccuracies or errors.

Intellectual Property & Originality
I affirm that all designs I present will be original and, to the best of my knowledge, will not infringe upon or plagiarize any existing work. I will conduct limited checks, including reviews against the WIPO database and reverse image searches, to reduce the risk of unintentional infringement. However, I do not assume legal responsibility for any issues regarding the originality or authenticity of my work.

It is your responsibility to conduct your own due diligence regarding plagiarism and originality. If you have any concerns, please discuss them with me before the project begins.
Trademark & Copyright
I am unable to assist with trademark registration, copyright filings, or legal name searches due to the complexity and costs involved in these processes.

If you wish to register your logo as a trademark, you are responsible for seeking your own legal advice.
Brand Naming
You are responsible for ensuring that your company or product name is legally available before the project begins. No refunds will be issued if legal issues arise after completion, and I am not liable for any related problems.

Please confirm the name is free of conflicts before starting, as changing it mid-project is costly and delays progress. If a name change occurs after significant work has been done, I will recalculate the project cost to cover the additional work. Ensure the name is properly checked and does not infringe on existing trademarks or business names.
